By accessing the secure informational services and file sharing services provided by Studio North Limited (“Studio North”) on Studio North’s websites including the client area on www.studionorth.co.uk and the file exchange service at www.snexchange.co.uk (‘Client Areas’) you will be accessing information that is subject to copyright protection, is confidential and is commercially valuable to Studio North (“Confidential Information”).

In consideration of Studio North providing Confidential Information to you, you therefore agree to abide by these Confidentiality Terms and agree:

(a) To keep the Confidential Information secret and confidential;
(b) Not to disclose nor permit the disclosure of any Confidential Information to any person without the prior written consent of Studio North;
(c) Not to use the Confidential Information for any purpose, whether commercial or non-commercial, other than for your internal business purposes;
(d) To make only such limited number of copies of the Confidential Information as are reasonably required for your internal business purposes; and
(e) To take proper and all reasonable measures to ensure the confidentiality of the Confidential Information.

“Confidential Information” includes but is not limited to:

(a) information provided in electronic, documentary or in other tangible or intangible form and which at the time of provision is marked or otherwise designated to show expressly or by necessary implication that it is given in confidence; and
(b) all information accessible in any password protected areas of any Studio North websites including but not limited to the client area of www.studionorth.co.uk and the file exchange area at www.snexchange.co.uk.

At Studio North’s request you agree to return and provide to Studio North all documents and other materials that contain any Confidential Information, and to permanently delete all electronic copies of Confidential Information from your computer systems.

You acknowledge and agree that all property, including intellectual property, in the Confidential Information shall remain with and be vested in Studio North.

You acknowledge and agree that any breach of these Confidentiality Terms could cause injury to Studio North and damages would not be an adequate remedy. In the event of a breach or threatened breach by you, Studio North shall be enti¬tled to injunctive relief in any court of competent jurisdiction and you agree that you shall not oppose any such application. You also agree to indemnify Studio North against all costs, claims, demands and liabilities arising directly or indirectly out of a breach.

The validity, construction and performance of these Confidentiality Terms shall be governed by English law and shall be subject to the non-exclusive jurisdiction of the courts of England and Wales, to which you agree to submit.
